Special LLC structures: questions to settle before filing

A series arrangement, professional practice, holding company or family-owned business can raise questions that ordinary formation instructions do not answer. Clarify the structure with qualified advisers first.

Records to gather

  • The intended activities, assets and jurisdictions.
  • The proposed owners, managers and signing authority.
  • Any professional licenses, lender conditions or existing entities.
  • Written legal and tax instructions for the intended arrangement.

Series and professional activities

Ohio’s LLC law addresses series arrangements, but a generic formation form does not establish every required term or record. A professional practice also needs review of the applicable licensing board’s rules. Do not assume that an LLC name authorizes regulated work.

Holding, property and family businesses

These labels describe a purpose or ownership arrangement; they do not explain the full legal or tax treatment. Property transfers, financing, succession and related-company transactions may require separate review before documents are signed.

Prepare from settled instructions
