Changing a business entity type in Ohio

A conversion, a new company and a tax election can have different consequences. Bring the existing records and obtain legal and tax instructions before preparing the transaction.

Records to gather

  • Existing entity type, name, jurisdiction and filing number.
  • The intended new structure and your reason for changing it.
  • Current ownership, governing documents and approval records.
  • Instructions addressing assets, contracts, permits and tax treatment.

Define the transaction

Ask your attorney whether the intended change is a statutory conversion, merger, new entity, or another transaction. The filing directory has separate conversion and merger sections. A generic LLC formation packet should not be used to guess the answer.

Coordinate the records

Identify which entity will hold contracts, property, insurance and licenses after the change. Ask the relevant providers what evidence they require. Resolve effective dates and authority to sign before submission.

Review taxes independently

An S-corporation election is not the same as a state entity conversion. Ask a tax adviser about the proposed transaction, tax classification, final or new returns, and any identification-number questions.

Fees and official instructions

There is no single fee for every change of structure. Use the current state forms and a written professional scope to identify the filings and costs before proceeding.
