Ohio corporation formation: records to prepare

A corporation uses Articles of Incorporation. Review the structure and proposed share arrangements with a qualified adviser before treating incorporation as a routine form-filling task.

Records to gather

  • Proposed corporation name and principal office information.
  • Statutory agent information and acceptance.
  • The incorporator’s details and authorization.
  • Share and additional-provision instructions approved by your adviser.

Use the corporation filing

Ohio lists Form 532A for a domestic for-profit corporation. An LLC uses different Articles. Check the entity type before preparing the filing, especially when an adviser has discussed an S-corporation tax election.

Separate formation from tax treatment

An S-corporation election is a federal tax matter with eligibility and filing requirements. It does not substitute for the correct state formation documents. Confirm the intended classification and payroll responsibilities with your tax adviser.

Keep the company records together

Save the accepted Articles, agent information and organizational records. Ask your attorney what bylaws, share records, resolutions or other documents are appropriate. Your bank will provide its own account-opening checklist.

Fees and official instructions

Ohio lists a $99 base filing fee for domestic for-profit Articles. The state also lists a shares-fee schedule; confirm whether it affects your filing. Private professional and preparation fees are separate.
