Partnership records and questions for your attorney

Co-owners should clarify the business structure, responsibilities and authority before signing a partnership agreement. A partnership and a multi-member LLC do not use identical governing documents.

Records to gather

  • The proposed or existing entity type and registered records.
  • Each owner’s contribution, role and proposed ownership interest.
  • Questions about decision-making, withdrawals, transfers and disputes.
  • Any existing agreement, lender requirement or professional instructions.

Confirm what business the agreement governs

Identify whether the business is a partnership, an LLC or another entity. State partnership filings and an internal agreement address different matters. Ask an attorney which documents fit the structure.

Resolve terms before transcription

Ownership percentages, voting, losses, exits and signing authority affect legal rights. Have the terms prepared or reviewed by a qualified attorney. Do not use a generic document to guess what the owners intended.

Coordinate the final records
