Ohio LLC reinstatement: start with the cancellation notice

The right next step depends on why and when the state cancelled the LLC’s registration. Gather the notice and current entity record before assuming reinstatement is available.

Records to gather

  • The complete state notice, including cancellation reason and date.
  • The entity name, Ohio number and current status.
  • Proposed statutory agent and Ohio address, if the notice concerns the agent.
  • The authorized signer’s details and any prior attempted response.

Read the reason before choosing a form

Ohio Form 525A addresses reinstatement following failure to maintain a statutory agent. Its current instructions state a two-year limit from cancellation and exclude permanently cancelled entities. Other cancellation reasons may need a different process.

Review the agent and authorization

When Form 525A applies, prepare the entity information, new agent details, required acceptance and authorized signature. Confirm the current instructions and state record before submitting.

Check what reinstatement does not resolve

An accepted state filing does not automatically resolve tax, licensing, contractual or court matters. If the notice is unclear or the deadline is disputed, obtain professional advice before paying for a filing.

Fees and official instructions

Form 525A lists a $25 state fee. That is not a promise that every cancelled company qualifies or that no other filings are needed.
