Changing an Ohio LLC’s name, address or records
Identify exactly which record needs to change. A legal name, statutory agent address, ownership agreement and tax mailing address are different records and may need different steps.
Records to gather
- Exact LLC name, Ohio entity number and current accepted Articles.
- The change you want to make, with the correct new information.
- Owner or manager authorization and any attorney-prepared wording.
- Relevant bank, tax, licensing or state correspondence.
Match the change to the record
Ohio Form 611 is used for amendment or restatement of LLC Articles. It should not be treated as an all-purpose update to every business account. A statutory agent change uses the agent-update process.
Distinguish ownership changes
A change in members or management may involve the operating agreement, approvals, contracts and tax reporting. Have the legal and tax effects reviewed before submitting a form. An Articles amendment alone does not document every ownership change.
Verify acceptance and follow through
Save the accepted state filing. Check which bank, insurance, tax and license accounts must be updated separately. When a legal name changes, compare the full spelling across these records.
Fees and official instructions
Ohio lists $50 for Form 611. A statutory agent update is a separate $25 filing. The actual work and any private preparation fee depend on the records being changed.
