Closing an Ohio LLC or other business: paperwork checklist

Closing the state entity record is one part of ending a business. Plan the owner authorization, remaining obligations and final account updates before filing.

Records to gather

  • Exact entity name, entity type and Ohio registration number.
  • Owner or governing-body authorization and any professional instructions.
  • The intended closing date and current contracts or agency notices.
  • A list of tax, payroll, bank, insurance and license accounts to review.

Choose the form for the entity

Ohio Form 616 concerns dissolution of a domestic LLC. A foreign LLC cancellation, corporation dissolution and nonprofit dissolution use different forms. Check the state filing directory for the actual entity type.

Plan the wind-down with the right advisers

Review debts, leases, employee matters, taxes and distributions with qualified professionals. A dissolution filing does not establish that outstanding obligations or personal guarantees disappear.

Keep evidence of each completed step

Save the accepted filing and confirmations from agencies or account providers. Ask the tax preparer which final returns or account closures apply. Store the closing records where authorized owners can retrieve them later.

Fees and official instructions

Ohio Form 616 lists a $50 filing fee. Confirm the current fee for a different entity type. Tax, professional and private preparation costs are separate.
