Register an existing out-of-state LLC in Ohio
An LLC already formed outside Ohio may need Ohio foreign registration. Confirm the registration obligation for its actual activities before forming a second company.
Records to gather
- Exact legal name, home jurisdiction and original formation records.
- Existing Ohio registration or correspondence, if any.
- Ohio statutory agent details and acceptance information.
- A description of planned Ohio activity and instructions from your adviser.
Confirm the existing company
Check the home-state record and any Ohio record so the filing identifies the same LLC. Do not use new domestic Articles merely because the company is beginning work in Ohio.
Use the foreign LLC instructions
Ohio lists Form 617 for foreign LLC registration. Review the current form for the required entity, agent, authorization and supporting information. Name conflicts and special circumstances need review before submission.
Maintain both sets of records
Save Ohio’s acceptance with the home-state records. Ohio registration does not automatically update tax accounts, professional licenses, contracts or requirements in the original jurisdiction. Ask the relevant agency or adviser about each.

Ohio’s listed foreign LLC registration fee is $99. Other state records, expedited processing and private assistance are separate.
