Who is generally covered
Most domestic LLCs, corporations, and similar entities created by filing with a secretary of state must report unless a statutory exemption applies. Common exemptions include large operating companies with substantial U.S. presence and employees, certain regulated financial institutions, and some inactive entities—but most small Columbus LLCs are not exempt.
What you report
Reports identify the company, its beneficial owners (individuals who exercise substantial control or own 25%+), and company applicants for entities formed after the effective date. Data goes to FinCEN's secure database—not a public search portal like Ohio SOS records.
2026 compliance posture
Court orders and agency announcements have paused or modified enforcement timelines multiple times. Before filing—or before ignoring the rule—check FinCEN's current announcements. We help formation clients understand whether BOI applies at setup, but legal interpretation for complex ownership chains may require attorney review.
Pair BOI review with your Articles of Organization and EIN timeline so federal and state records stay aligned.
